Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and NexGen UX & Engineering LLC("NexGen," "we," "us") governing your use of the Shibuya High Rollerapplication and services (the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

• You must be at least 18 years old.
• You must be physically located in a U.S. state where the Service is offered. The Service is unavailable in certain states and is geo-restricted; access from excluded states is prohibited.
• One account per person. You are responsible for keeping your credentials secure.

2. The Service is for entertainment only: no real-money gambling

Shibuya High Roller is a free-to-play social casino offered purely for entertainment. The Service involves no real-money wagering, no prizes of monetary value, and no cash-out of any kind. You can never win or lose real money. Outcomes in slots and other casino games are determined by a random number generator and are intended for fun, not financial gain. This is not gambling.

3. Virtual currency (Coins and Gems)

• Coins are a free, in-game currency you receive on a timer and through daily bonuses. Gems are a premium currency you may optionally purchase.
• Coins and Gems have no cash or monetary value, are not redeemable for cash or anything of monetary value, and cannot be cashed out, transferred, sold, or exchanged between users.
• We grant you a limited, personal, revocable, non-transferable license to use Coins and Gems within the Service. You do not own them, and they remain our property.
• Purchased Gems do not expire. Balances may be forfeited if your account is terminated for violations of these Terms.

4. Purchases, billing, and refunds

All purchases of Gems and any subscriptions are processed by Apple through in-app purchase. Refunds are handled solely by Appleunder Apple's policies; please direct refund requests to Apple. Any subscription renews automatically until canceled through your Apple account settings. Purchases are optional; you never have to buy anything to keep playing.

5. Responsible play

We provide tools including spend limits, cooling-off periods, and self-exclusion. Once set, cooling-off and self-exclusion cannot be reversed before they expire. See our Responsible Play policy.

6. Fair play and prohibited conduct

You agree not to:

• Use bots, automation, scripts, or third-party tools to play or gain advantage.
• Collude with others, create multiple or fake accounts, or manipulate matchmaking or leaderboards.
• Exploit bugs, reverse engineer, or tamper with the Service or its anti-cheat systems.
• Harass other users, post unlawful content, or violate any law.

We use server-side validation and anti-cheat detection and may investigate suspected violations. Leaderboards and rankings reflect real players only; AI opponents never affect standings.

7. Account suspension and termination

We may suspend or terminate your account for violations of these Terms, suspected fraud or cheating, or ineligibility. On termination, your license to use the Service and any virtual currency ends, and we are not obligated to refund forfeited Gems.

8. Intellectual property

The Service, including its games, software, designs, artwork, and trademarks, is owned by NexGen UX & Engineering LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXGEN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR VIRTUAL CURRENCY.

10. Dispute resolution; arbitration; governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, and you and NexGen waive the right to a jury trial and to participate in a class action, to the extent permitted by law.

11. Apple-specific terms

These Terms are between you and NexGen only, not Apple. Apple has no obligation to provide maintenance or support for the Service. Apple is not responsible for any product warranties or claims relating to the Service. Apple and its subsidiaries are third-party beneficiariesof these Terms and may enforce them. You represent that you are not located in a U.S.-embargoed country and are not on any U.S. restricted-parties list.

12. Changes; severability; entire agreement

We may update these Terms; continued use after changes means you accept them. If any provision is unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy, are the entire agreement between you and NexGen.
